Terms of sale

1. Purpose and scope

These terms of sale govern the development and integration services for AI and SaaS features provided by MIGNOT Sébastien Cyril Alain (Entrepreneur individuel (micro-entreprise), SIREN 829 062 231), hereinafter "the Provider", to its professional clients, hereinafter "the Client". Any order implies unreserved acceptance of these terms.

2. Quote and order

Each service is the subject of a detailed quote. The quote is valid for 30 days from its issue date. The order is firm upon signature of the quote by the Client (or written acceptance), constituting agreement on scope and price.

3. Prices

Prices are stated in euros and are exclusive of tax. Franchise en base de TVA (micro-entreprise). TVA non applicable, article 293 B du CGI. Features offered as a fixed package correspond to a proven base; customization to the Client's need is quoted separately in the quote.

4. Payment terms

If the Client abandons the service after it has started, the 80% deposit remains acquired by the Provider, the base feature having already been made available and adapted.

5. Late payment

Any late payment automatically incurs penalties at the increased legal interest rate, plus a fixed recovery indemnity of €40 (articles L441-10 and D441-5 of the French Commercial Code), without prejudice to any other remedy.

6. Lead times and Client cooperation

Lead times are indicative and run from receipt of the 80% deposit. They depend on the Client providing, in good time, the necessary items (access, content, validations). Any delay by the Client postpones the deadlines accordingly.

7. Delivery and acceptance

The service is deemed delivered at its go-live, i.e. the effective connection of the feature to the Client's tools. The Client has 15 days to report in writing any non-conformity with the specification; failing that, the service is deemed accepted.

8. Intellectual property

The specific code and developments produced for the Client are assigned to them after full payment of the price. The Provider retains ownership of its generic building blocks, reusable components, know-how and pre-existing tools, which it remains free to reuse for other clients.

9. Warranty and maintenance

The Provider warrants the conformity of the service to the specification for 30 days after go-live (correction of reported defects). Corrective or evolutionary maintenance beyond this period is the subject of a separate contract or quote.

10. Liability

The Provider is bound by an obligation of means. Its liability is limited to direct damages and may not exceed the total amount of the service concerned. It cannot be held liable for indirect damages (loss of operations, data or revenue).

11. Confidentiality

Each party undertakes to keep confidential the information exchanged in the course of the service, for its entire duration and 2 years after its end.

12. Personal data

The processing of personal data is described in the privacy policy.

13. Right of withdrawal

As the services are intended for professionals in the course of their business, the right of withdrawal under the French Consumer Code does not apply, except where the law expressly provides for it.

14. Governing law and disputes

These terms are governed by French law. In the event of a dispute, and failing an amicable resolution, jurisdiction is granted to the competent French courts. Complaints: by post to the registered office or via online booking.
